Tax and advisory

Tax concerns resolved, then a finance function that prevents them

We take on the tax positions a growing Indian company gets itself into, close them on the record, and then run the finance function so the same position does not open again.

Scope and fee in writing before work starts Virtual delivery, IST / GST / GMT / US overlap Prices published, not on request

Tax concerns? We are the solution. A reassessment notice arrives under Section 148A. A GSTR-2B reconciliation stops tying to the books, three quarters running. A related-party charge agreed on a call two years ago becomes the subject of a Section 92CA reference. Tax-Samadhan exists to close positions like these on the record, with working papers that hold up when someone else reads them.

Tax first, because that is where the exposure sits

For a company between ₹5 crore and ₹100 crore of revenue, tax is rarely a filing problem. Returns get filed. It is a documentation problem, and it surfaces years after the decision that caused it. Input tax credit was claimed against invoices a supplier never uploaded. A management fee to a group company was set at a round number and never benchmarked. A director’s current account was squared off in the ledger with no board resolution behind it. Each of those is comfortable in the month it happens and awkward in year four, when an assessing officer asks for the basis.

Our tax work runs in two directions at once. Backwards, to establish what position was actually taken, what evidence exists for it, and what range of outcomes is realistic if it is challenged. Forwards, so that the next GSTR-9C, the next Form 3CD and the next Form 3CEB rest on something more durable than the memory of whoever prepared them.

What the tax and regulatory work covers

  • GST advisory and compliance, annual return and reconciliation in GSTR-9 and GSTR-9C, credit reversal under Rules 42 and 43, blocked credit under Section 17(5)
  • Direct tax advisory, tax audit support through Form 3CD, and litigation support from assessment to CIT(A) and the Tribunal
  • International tax, withholding under Section 195, Form 15CA and 15CB, treaty relief, and transfer pricing documentation under Rule 10D with Form 3CEB
  • Representation on notices under Sections 143(2), 133(6) and 148A, and on GST proceedings from DRC-01A through DRC-01

Then the rest of the finance function

Tax is where most clients meet us. It is rarely where the engagement ends, because the position that produced the notice was usually created upstream, in how the books were kept or how a transaction was papered. Five categories, seventeen services, all delivered under the same scoping and review discipline.

Tax & Regulatory

Positions taken, defended and documented

GST advisory and compliance. Direct tax advisory and litigation support. International tax and transfer pricing. Notice and assessment representation, including faceless proceedings where the entire case is made in writing.

Advisory & Transactions

Deals, diligence and disputes of fact

Transaction advisory through diligence and structuring. Lead advisory for buy-side and sell-side mandates. Forensic advisory and investigation where the question is what actually happened to the money.

Finance Function

The month-end that closes on time

Virtual CFO. Accounting and assurance advisory under Ind AS and the applicable Accounting Standards. Accounts receivable and accounts payable management, run against agreed ageing and approval rules.

Valuation & Research

Numbers that survive being questioned

Business valuation for regulatory and commercial purposes. Project research and feasibility studies before capital is committed. Investment research for investment committees that have to record a basis.

Data & Technology

Finance data you can reconcile

Digital transformation of the finance stack. Data analytics and business intelligence built on the ledger rather than beside it. Data reconciliation across gateways, marketplaces, banks and the books.

How an engagement runs

The sequence is the same whether the work is a single GST reconciliation or a monthly Virtual CFO retainer. Nothing chargeable starts before the scope is written down and accepted.

  1. Scoping call

A call to establish the position, the deadline attached to it, and whether we are the right firm for it. We will say so when we are not. The call is arranged for the next business day after an enquiry reaches us.

  2. Written scope and fee

You receive the scope in writing before anything is charged: what is included, what is excluded by name, what we need from you, what you will receive, and the fee with GST shown separately.

  3. Information and access

A single, itemised information request rather than a series of ad hoc emails. Access is taken to the minimum systems the work requires, on named accounts, and is withdrawn at closure.

  4. Work, review, draft

Preparation and review are done by different people. You see a draft with the reasoning and the working papers referenced, not a finished document you are expected to accept unread.

  5. Delivery and follow-through

Final deliverable, a walkthrough of what it says and what it deliberately does not, and a written note of the next dates that matter. Working papers are retained so the position can be reconstructed later.

What we publish rather than promise privately

A young firm cannot ask to be trusted on reputation it has not had time to build. It can be held to terms it puts in public, before a client has paid anything.

  • Fees for every service are shown on the website, exclusive of GST, with the unit stated. Not “on request”.
  • Scope is agreed in writing before work starts, and every service page names what is excluded from it.
  • Cancellation and refund terms are published in full and linked from the checkout, before purchase rather than after.
  • Response and turnaround commitments are stated as service level commitments you can point back to.

Prices displayed exclude GST. Indian billing addresses attract GST at the applicable rate; supplies to overseas clients are treated as zero-rated export of services.

Delivered virtually, on purpose

We work remotely rather than from a client’s office. That is a deliberate choice, not a cost apology. It means documents live in a controlled repository instead of on someone’s laptop, that reviews happen on the file rather than over a desk, and that a client in Dubai, London or the eastern United States is served by the same team as a client in Delhi NCR.

Working hours are Monday to Friday, 09:30 to 18:30 IST. That covers the full Gulf working day, the first half of the UK working day, and the opening of the US East Coast morning. Calls outside those hours are arranged in advance rather than assumed.

Start with the position, not the brochure

The most useful first conversation is the specific one. Bring the notice, the reconciliation that will not tie, the term sheet, or the month-end that keeps slipping. You will get an assessment of what is actually at stake and a written scope, or a straight answer that the work is not ours to do.
